2008 NCRC Constitution
ARTICLE I
Name
The
organization shall have the name: Northwest Collegiate Rowing
Conference (NCRC).
ARTICLE II
Mission
The
mission of the NCRC is to establish a collegiate crew affiliation
organization for the purpose of representing, promoting, and
enhancing the sport of rowing at the collegiate level in the
northwest.
ARTICLE III
Goals and Tasks
1. To establish and maintain a
collegiate level championship regatta for the northwest, as well as
northwest collegiate team champions.
2. To represent the interests
of small college or unaffiliated northwest crew programs within the
other pertinent organizations (USRA, NCAA, etc.).
3. To provide and promote
adequate regional competitive opportunities for similar level rowing
programs at the collegiate level in the northwest.
4. To recognize individual
rowers and rowing programs within the northwest.
ARTICLE IV
Membership
Members of NCRC are to be
organizational not individual.
Membership criteria for organizations are as follows:
1. Any collegiate rowing
program, whether varsity or club, within the USRA defined Northwest
Region of the United States.
a. USRA defines the Northwest
Region as including Washington, Oregon, Idaho, Alaska, Montana,
Northern California*, Wyoming.
b. Dues will be established
and required for organizational membership. The amount of dues will be
voted upon at each autumn meeting of the NCRC by at least a quorum
of members.
c. Collegiate is defined as
an NCAA Division II or III affiliate institution.
ARTICLE V
Meetings
1. Member meetings will take
place quarterly on a corresponding date and location with the USRA
regional meetings. Ad
hoc meetings of the elected officers can be called at the discretion
of the officers, but all official business must be conducted at
joint member meetings where a quorum of member representatives are
present. A quorum will
be defined as a simple majority of members. Ad hoc member meetings can
be called by a request of at least 25 percent of active
members. Phone
conferences and electronic forms of conferencing are acceptable and
authorized, the rules of quorum and majority remain in effect for
these conferences as well.
2. Representation at
Meetings.
a. Each institution is to be
represented by its coach or coaches. If an institution sponsors
or offers separate rowing programs for each gender, representation
will be by the respective coach for each gender program. Women's programs need not
be represented by only women coaches and vice versa. Each organization may
utilize one vote for each of its gender programs only if it
sponsors a rowing program for that gender.
b. Programs not in good
standing (financially delinquent or eligibility violators) will
not be authorized to vote until their status is appropriately
restored.
c.
Representation by
proxy may be authorized by the established representative but must
be submitted in writing.
Electronic forms of proxy are acceptable.
3. Meetings will be conducted
in accordance with Robert's Rules of Order. ARTICLE VI
Officers
1. Elected officers will be the
initial structure of the NCRC, they will be elected by a simple
majority of its members.
There will be three permanent positions: President, Vice
President/Treasurer, and
Secretary. These
positions will be voted on annually at each autumn meeting where at
least a quorum of members is present. Officers may resign at any
time,
resignations must be given in
writing to the next senior officer, or, in the case of the
President, to the Vice-President, who will act in that capacity
until another election can be held.
2. Duties. The officers' primary duties
are to include but are not limited to the following:
a. General - The NCRC
officers are to act as the primary supervisory agents of the
Conference membership in all activities and events in which the
Conference participates in an official capacity. The Officers are to
establish general policy and organizational direction not
requiring a vote of the membership as directed within this
Constitution or its bylaws.
The officers are to execute a supervisory role over all
committees and of the Conference Championship specifically.
b. President - The President
is the primary representative of theConference and its membership
in external matters of an official capacity. The President convenes and
conducts all official and ad hoc meetings.
c. Vice President/Treasurer -
The Vice President/Treasurer acts in the capacity of the President
when the President is either unable or unavailable to act in that
capacity. The duties
as Conference Treasurer include establishing and implementing
financial policies and documenting them as an addendum to this
constitution.
d. Secretary - The
Secretary's primary duty is to document all proceedings and
meetings as well as maintain all the official conference
documentation.
ARTICLE VII
Committees
Should a simple majority of
members deem it necessary, committees may be formed at any meeting
or may be appointed by the President. Committees will have only
the authority vested in them in writing at their formation, and may
not make changes to this constitution or its bylaws without due
authority.
ARTICLE VIII
Amendments
This Constitution may be amended
or revised only at the autumn meeting by a full majority (2/3) of
the members. Proposed
amendments must be submitted in writing to the officers at least
thirty (30) days prior to the autumn meeting.
This constitution may be amended or revised by a quorum of the
members by submitting in writing or by e-mail proposed amendment{s}
according to the timelines set forth at the fall
meeting.
ARTICLE IX
Conference Championship
The NCRC
will conduct annually a Conference Championship regatta. The site and date of the
championship will be agreed upon at each autumn meeting by 2/3
majority (rounded up) of the membership and contracted with the
respective venue host.
The venue host will be assigned as Regatta Director. Rules of racing as well as
event format and conduct are to be established by the NCRC officers
in the form of bylaws.
These bylaws and changes to these bylaws will be ratified by
a simple majority of members at each autumn meeting. These bylaws will be
contracted in the written venue/site agreement with the respective
venue host. No changes
will be made in the current year's championship following the autumn
meeting.
ARTICLE X
Dissolution
The NCRC
may only be dissolved by a full majority of members (at least 2/3
majority, rounded up).
All members must be polled to enact dissolution.
In the
event of dissolution, the officers shall, after paying or making
provisions for the payment of all the liabilities of the
organization, dispose of all assets of the organization in a manner
beneficial and equal to all current members in good standing.
